1. Acceptance of Terms

By accessing and using the Akili Group website (www.akilig.com) and our services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not use our website or services.

2. Services Description

Akili Group provides IT consulting and software development services, including but not limited to:

• Web and mobile application development
• AI and machine learning solutions
• Data analysis and business intelligence
• Digital transformation consulting
• Cloud computing and DevOps services
• UI/UX design and prototyping

Specific service terms will be detailed in individual project agreements or Statements of Work (SOW).

3. Client Engagement & Project Terms

3.1 Project Agreements

Each project engagement will be governed by a separate project agreement or Statement of Work that includes project scope, timeline, deliverables, payment terms, and milestones. These project agreements supplement and are governed by these Terms of Service.

3.2 Client Responsibilities

• Providing accurate and complete project requirements and information
• Timely review and approval of deliverables and milestones
• Providing necessary access, credentials, and resources as required
• Designating a point of contact for project communication

4. Confidentiality & Non-Disclosure

Akili Group treats all client information with the utmost confidentiality:

• All project engagements are covered by a Non-Disclosure Agreement (NDA)
• We will never publicly disclose, reference, or showcase client projects, names, or proprietary information without explicit written consent from the client
• All team members working on client projects are bound by confidentiality obligations
• Client data, source code, and intellectual property are securely handled and protected
• Confidentiality obligations survive the termination of any project agreement

5. Intellectual Property

5.1 Client's IP

Upon full payment, all custom software, code, designs, and deliverables created specifically for the client become the client's exclusive intellectual property, unless otherwise specified in the project agreement.

5.2 Akili Group's IP

Akili Group retains ownership of pre-existing tools, frameworks, libraries, and methodologies used during development. The Akili Group name, logo, and website content are our proprietary property.

5.3 Open Source

Where open-source software is used in a project, it remains subject to its respective licenses. We will clearly document any open-source components used.

6. Payment Terms

• Payment terms will be specified in each project agreement
• Standard payment structure includes an upfront deposit, milestone payments, and final payment upon delivery
• All invoices are due within 30 days of issuance unless otherwise agreed
• Late payments may incur interest at the rate specified in the project agreement
• Akili Group reserves the right to suspend work on overdue accounts

7. Warranties & Limitation of Liability

7.1 Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner. If deliverables do not meet the agreed-upon specifications, we will correct them at no additional charge within the warranty period specified in the project agreement.

7.2 Limitation of Liability

To the maximum extent permitted by law, Akili Group's total liability for any claim arising from our services shall not exceed the total fees paid by the client for the specific project in question. We are not liable for indirect, incidental, or consequential damages.

7.3 Website Disclaimer

This website is provided "as is" without warranties of any kind. We do not guarantee uninterrupted or error-free access to the website.

8. Termination

Either party may terminate a project engagement as specified in the project agreement. Upon termination:

• The client shall pay for all work completed up to the termination date
• Akili Group will deliver all completed work and materials
• Confidentiality obligations remain in effect indefinitely
• Both parties will return or destroy any confidential information of the other party

9. Website Use

When using our website, you agree not to:

• Attempt to gain unauthorized access to any part of the website or its systems
• Use the website for any unlawful or prohibited purpose
• Transmit any malicious code, viruses, or harmful data
• Scrape, crawl, or harvest data from the website without permission
• Interfere with the proper functioning of the website

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws applicable in the jurisdictions where Akili Group operates (Democratic Republic of Congo and Canada). Any disputes arising from these terms shall be resolved through good faith negotiation, and if necessary, through arbitration or the competent courts of the relevant jurisdiction.

We reserve the right to modify these Terms of Service at any time. Material changes will be posted on this page with an updated "Last updated" date. Continued use of our website or services after changes constitutes acceptance of the updated terms.
